(A)Board of Directors

BOARD OF DIRECTORS (BOD) – FUNCTIONS, POWERS & KEY RESPONSIBILITIES

  1. The Board of Directors shall determine the Corporation’s overall strategic direction and policies and provide policy guidance to UPCOS in alignment with its objectives.
  2. The Board of Directors shall oversee the management and operations of the Corporation and ensure compliance with all applicable laws, rules, and regulations.
  3. The Board shall approve the creation of posts and determine remuneration structures at the Corporate Headquarters as and when required.
  4. The Board shall provide in-principle approval for the annual budget, while financial approvals shall be accorded by the Corporate Office.
  5. The Corporate Office shall submit detailed reports to the Board on salary payments, ESI, EPF, insurance, and other statutory payments made by outsourcing agencies.
  6. The Corporate Office shall periodically submit reports to the Board confirming that outsourcing agencies are strictly complying with reservation-related rules and provisions.
  7. The Board shall ensure good governance, transparency, accountability, and effective administrative and financial control in accordance with the Corporation’s vision, objectives, and policy goals.

(B) Advisory Committee

Considering that this is a new initiative and will require expert support and guidance for its effective implementation, it is proposed to constitute a six-member Advisory Committee. The committee shall comprise two Human Resource (HR) experts, two entrepreneurs, one technocrat, and one strategist. The Advisory Committee will provide periodic advice and guidance to the Board of Directors on matters related to the Corporation’s functions, policies, and the welfare of outsourced personnel. It will also offer recommendations to enhance the effectiveness, transparency, and overall performance of the Corporation's operations.

The Corporate Headquarters shall be responsible for achieving the Corporation’s objectives and vision, resolving issues faced by personnel, and ensuring adherence to all applicable rules, regulations, and other relevant statutory provisions

(D-1) Committee Structure for State Government Departments / Directorates / Municipal Corporations / Local Bodies / Authorities and Other Institutions

For verification of eligibility and qualifications of candidates and for monitoring the provision of outsourced manpower services, the following committee shall be constituted:

Purpose of the Committees

  1. Following verification and monitoring by the above committees, the list of eligible outsourced personnel shall be forwarded to the outsourcing agency for engagement.
  2. The concerned personnel shall be provided with a Placement Information Letter (PIL) by the outsourcing agency, and it shall be ensured that their EPF (Employees’ Provident Fund) and ESIC (Employees’ State Insurance Corporation) accounts are opened.
  3. To facilitate the provision of EPF, ESIC, and other statutory benefits and for the issuance of identity cards, a copy of the Placement Information Letter (PIL) shall be submitted by the outsourcing agency to the Corporation.
